August 16, 2024 – Ozon Holdings PLC (thereafter referred to as "we", "us", "our", "Ozon" or the "Company") today announces the following changes to its Board of Directors:
· Mr. Nilesh Lakhani (Independent Director), Mr. Charles Ryan (Independent Director), Ms. Lydia Jett (Independent Director) and Mr. Peter Sirota (Independent Director) resigned from the Board of Directors. We wish Nilesh, Lydia, Charles and Peter well, and would like express our deepest appreciation and gratitude for their service, expertise and vital contribution to the Company as it navigated both significant challenges and opportunities during a transformational period in its history.
· Mr. Kirill Lykov and Mr. Alexander Rogovoy joined the Board of Directors as Non-Executive Directors and replaced Ms. Elena Ivashentseva and Mr. Dmitry Kamensky with the effect from August 14, 2024 pursuant to Regulations 75A and 75B of the Articles of Association of the Company. Both Kirill and Alexander have extensive management experience and have held senior roles at the leading companies in Russia.
The Board of Directors remains quorate and continues to perform its duties in the best interest of all the stakeholders of the Company. The Company expects to announce the appointment of new independent directors in due course.
