June 24, 2024 – Ozon Holdings PLC (hereafter referred to as "we," "our," "Ozon," the "Company,") announces today that it has initiated the procedure to replace The Bank of New York Mellon as the depositary administering the Company's American Depositary Shares (the "ADS") program.
The Company has agreed to appoint RCS Stock Transfer Inc., along with a registered broker-dealer or licensed trust company located in the United States to be engaged by RCS Stock Transfer Inc. (collectively, the "Successors"), to replace The Bank of New York Mellon and administer the ADS program. RCS Trust and Corporate Services Ltd. will be appointed to provide custodial services for the ADS program. The transfer of the ADS program from The Bank of New York Mellon to the Successors is expected to take up to 90 days.
Holders of the Company's ADSs are not required to take any additional actions in connection with the appointment of the Successors. The appointment of the Successors should not affect trading in ADSs.
